These Terms of Use & Service ("Terms") apply to your use of vrontia.com and to dispatch services provided by Vrontia, the Dispatch Operations Division of UNIVERSATIC LLC (New Mexico Registration Number 0008115275). UNIVERSATIC LLC is the parent entity that also operates Micronatic, your dedicated digital solutions partner. By using this website or engaging our services, you agree to these Terms. If you do not agree, do not use the site or our services.
1. Scope of services
Vrontia provides remote business-to-business dispatch support for towing companies, including inbound call answering, call verification and fraud screening, Towbook workflow management, driver priority planning and daily shift reporting. Vrontia does not provide physical towing drivers, trucks, equipment, roadside work, or on-scene recovery services. Driver management, licensing, insurance, vehicle maintenance and on-scene execution remain solely with the client towing company.
2. Eligibility
Our services are intended for businesses. By engaging Vrontia, you represent that you are authorized to act on behalf of the towing company you represent and that you have authority to accept these Terms on its behalf.
3. Client responsibilities
You are responsible for: (a) the accuracy of information you provide to Vrontia, including driver lists, dispatch rules, coverage areas and contact details; (b) all field decisions, including whether to accept a job; (c) compliance with California towing, licensing, insurance and safety regulations; (d) your customer contracts and pricing; and (e) maintaining access credentials to any systems, including Towbook, that we use on your behalf.
4. Our responsibilities
Vrontia will staff dispatch coverage during agreed hours, answer inbound calls with reasonable care and skill, apply the call-screening and dispatch rules you provide, and deliver shift reports as described in your service agreement. Vrontia does not guarantee that any specific job will be accepted, completed, priced or paid, and does not guarantee a specific arrival time or outcome.
5. Fees, billing and payment
Fees are billed at the hourly rate shown in your service agreement or our published pricing page. You are billed for the hours we actually staff. Invoices are due per the terms in your service agreement. Direct automated payment processing is currently paused; custom job price handling is arranged directly with our team. See our Refund Policy and Cancellation Policy for related terms.
6. Towbook and third-party tools
We work inside your existing Towbook portal or other client-provided systems. Your use of those systems remains subject to the third party's own terms. Vrontia does not control, endorse or warrant any third-party software, and is not responsible for outages or data errors caused by those systems.
7. Acceptable use
You agree not to use Vrontia's services or website to: (a) submit false, misleading or fraudulent information; (b) violate any law; (c) interfere with our systems or security; (d) copy, scrape or resell our content; or (e) impersonate Vrontia or misrepresent your relationship with us.
8. Intellectual property
The Vrontia name, logo, website content, documentation and operational materials are owned by UNIVERSATIC LLC or its licensors. You receive a limited, non-exclusive, non-transferable license to use the site and materials solely for lawful business purposes. You may not reproduce, modify or distribute our content without prior written consent.
9. Confidentiality
Each party will protect the other's non-public business information using reasonable care. Vrontia will not disclose your customer lists, pricing or internal procedures except as needed to deliver the service or as required by law.
10. Disclaimers
Our services and website are provided "as is" and "as available." To the maximum extent permitted by law, Vrontia disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant uninterrupted or error-free service.
11. Limitation of liability
To the maximum extent permitted by law, Vrontia's total liability arising out of or relating to these Terms or the services is limited to the fees paid by you for services in the month in which the claim arose. Vrontia is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue or loss of business opportunity.
12. Indemnification
You agree to indemnify and hold harmless Vrontia and UNIVERSATIC LLC from claims, damages, liabilities and expenses (including reasonable legal fees) arising out of (a) your business operations, (b) field execution of towing or recovery jobs, (c) your violation of law or a third-party right, or (d) inaccurate information you provide to us.
13. Term and termination
These Terms apply for as long as you use the site or engage our services. Either party may end dispatch coverage per the terms in the applicable service agreement and our Cancellation Policy. We may suspend service for nonpayment, misuse, safety or legal reasons.
14. Governing law
These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-law principles. Any dispute not resolved informally will be brought in the state or federal courts located in New Mexico, unless applicable law requires otherwise.
15. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date reflects the most recent revision. Continued use of the site or services after changes take effect constitutes acceptance.
16. Complimentary website offer
Active clients who retain Vrontia dispatch services may receive a complimentary professional website provided through Micronatic, a digital solutions partner operating under UNIVERSATIC LLC. This offer is promotional, subject to availability, and limited to the standard scope communicated at the time of enrollment. It does not include custom software development, advanced integrations, paid advertising, domain registration, third-party hosting fees, or ongoing SEO unless separately agreed in writing. The complimentary website has no cash value and is not refundable. If your dispatch account becomes inactive, materially violates these Terms, or is terminated, Vrontia may suspend or withdraw the complimentary website service. Any separately purchased website services are governed by the applicable written agreement.
